These Terms govern the proposal preparation services provided by BidReady ("BidReady", "we", "us") to a client ("you"). By engaging BidReady, or by using this website, you agree to these Terms. Where a signed engagement letter or statement of work conflicts with these Terms, that document controls.
BidReady prepares written proposal materials in response to a federal, state or local government solicitation identified by you. A typical engagement produces a compliance matrix, a technical and management volume, a past performance volume, pricing volume formatting, and a list of items still required from you.
Each engagement is scoped to one named solicitation with one submission deadline. Additional solicitations, amendments that materially change the requirement, and re-bids are separate engagements.
You are solely responsible for:
BidReady does not independently verify information you supply. Missing information is flagged in the draft as an open item rather than filled in with assumed content.
Proposals submitted to the federal government contain representations and certifications that carry legal consequences, including potential liability under the civil False Claims Act (31 U.S.C. §§ 3729–3733) and criminal statutes including 18 U.S.C. § 1001. Those representations are made by you, in your own name. You must not submit any proposal containing a statement you know or suspect to be inaccurate, and you must resolve every flagged open item before submission.
Delivery timelines assume you supply requested information within the agreed intake window. Delay in providing information may make a deadline unachievable, and BidReady is not responsible for a missed submission caused by such delay.
If a solicitation is cancelled or materially amended by the agency before delivery, we will agree in good faith either to redirect the work to the amended or a substitute solicitation, or to refund the unearned portion of fees paid.
Either party may terminate an engagement in writing. On termination you are responsible for fees earned for work performed to that point, and you receive the work product produced to that point.
Non-public information you provide is treated as confidential, used only to perform the engagement, and not disclosed to third parties except as required by law or with your permission. Please do not transmit classified information, export-controlled technical data, or information subject to restrictions you have not disclosed to us in advance.
On payment in full, you own the proposal deliverables prepared specifically for you. BidReady retains ownership of its underlying methods, templates, checklists and general know-how, including structural boilerplate not specific to your business, and may reuse them. BidReady will not disclose your confidential information in doing so.
To the maximum extent permitted by law, BidReady's total aggregate liability arising out of or relating to an engagement is limited to the fees actually paid by you for that engagement. BidReady is not liable for indirect, incidental, consequential, special or punitive damages, or for lost profits, lost contracts, lost business opportunity, or the value of any award not received, even if advised of the possibility.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
You agree to indemnify and hold BidReady harmless from claims, losses and expenses arising from information you supplied, from any representation or certification you made to a government agency, or from your performance or non-performance of any resulting contract.

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws rules. The exclusive venue for any dispute is the state or federal courts located in Texas, and both parties consent to that jurisdiction.
These Terms may be updated. The "last updated" date above reflects the current version. The version in effect when your engagement begins governs that engagement.
